Affiliate Disclosure & User Program Terms

PLEASE READ THESE TERMS CAREFULLY. This document constitutes a legally binding agreement between you ("User," "you," "your") and SweepValet ("SweepValet," "we," "us," "our"). By accessing or using the SweepValet website, applications, or any related services (collectively, the "Service"), you acknowledge, accept, and agree to be bound by these Affiliate Disclosure & User Program Terms.

1. Definitions

"Platform-Generated Link": An affiliate link generated directly by the SweepValet Service, including through its AI algorithms or on general search and discovery pages.

"User-Generated Referral Link": An affiliate link created by an eligible User through our Referral Program for the purpose of sharing with third parties.

"Participant": A User who generates one or more User-Generated Referral Links.

"Qualifying Purchase": A purchase made by a third party that meets the criteria for earning a commission as defined by the respective retailer's affiliate program (e.g., the Amazon Services LLC Associates Program).

2. Affiliate Relationships & Commission Structure

You acknowledge that SweepValet engages in affiliate marketing and allows its Users to do the same. This means commissions may be earned on Qualifying Purchases made through links on the Service at no extra cost to the purchaser.

Commissions to SweepValet: SweepValet is the sole and exclusive recipient of any and all commissions earned from Qualifying Purchases made through Platform-Generated Links.

Commissions to Users: A Participant is the sole and exclusive recipient of one hundred percent (100%) of the commission earned from a Qualifying Purchase made directly through a User-Generated Referral Link created by that Participant. SweepValet takes no portion of these user-to-user referral commissions.

3. User Referral Program: Participant Obligations

By acting as a Participant, you agree to these legally binding obligations:

Independent Contractor Status: You act as an independent contractor. Nothing in these terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and SweepValet. You are solely responsible for any and all taxes on your earnings.

Absolute Compliance with Law: You represent and warrant that you will comply with all applicable laws, regulations, and guidelines, including but not limited to the Federal Trade Commission's (FTC) Endorsement Guides.

Mandatory Disclosure Requirement: You must clearly and conspicuously disclose the material connection between you and the retailer. This disclosure must be placed proximately to any User-Generated Referral Link you share.

Acceptable Disclosures: Use plain language like, "I earn commissions from qualifying purchases," or "As an Amazon Associate, I earn from qualifying purchases." On social media, hashtags like #ad or #sponsored at the beginning of a post are also acceptable.

Prohibited Conduct: Hiding disclosures, using ambiguous language (e.g., "#collab"), or placing disclosures where they are not easily seen is a violation of these terms and may be unlawful.

Content Responsibility: You are solely responsible for all content you create and share in connection with the User Referral Program.

4. Disclaimers, Limitation of Liability, and Indemnification

Disclaimer of Endorsement: SweepValet is an independent entity and is not affiliated with, sponsored by, or endorsed by Amazon.com, Inc. or any other retailer. All third-party trademarks are the property of their respective owners.

Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SWEEPVALET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no warranties or representations about the accuracy, completeness, or reliability of the Service's content, AI-generated recommendations, or the content of any sites linked to the Service.

Limitation of Liability: IN NO EVENT WILL SWEEPVALET, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification: You agree to defend, indemnify, and hold harmless SweepValet, its subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your participation in the User Referral Program; (2) any breach of your representations and warranties set forth in these terms; (3) your violation of the rights of a third party, including but not limited to intellectual property rights; or (4) any overt harmful act toward any other user of the Service with whom you connected via the Service. This indemnification obligation will survive the termination of your account and your use of the Service.

5. General Provisions

User Consent: By using the Service, you consent to the use of tracking technologies (like cookies) by us and our affiliate partners to correctly attribute commissions. For more information, please see our Privacy Policy.

Termination: We reserve the right, in our sole discretion, to suspend or terminate a User's participation in the User Referral Program or access to the Service for any violation of these terms, without notice or liability.

Severability: If any provision of these terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these terms and does not affect the validity and enforceability of any remaining provisions.

Entire Agreement: These Affiliate Disclosure & User Program Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and SweepValet concerning the Service.
